1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Agility AI Consultants LLC ("Company," "we," "us," or "our"), operating as Agility AI Agents, regarding your use of our membership services available at agilityaiinnercircle.com.

By purchasing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.

The Agility AI Agents Inner Circle is a quarterly membership program providing education, training, and support for implementing AI automation solutions, specifically focused on Moltbot AI agent deployment.

3.1 Human-Delivered Services

IMPORTANT: This membership includes substantial human-delivered services, including but not limited to:

• Live Group Video Implementation Calls: Scheduled group video sessions conducted by human instructors (minimum 3x per week) where members receive personalized guidance, training, and support
• Direct Human Support: Access to human instructors and coaches through our community support channels for troubleshooting, questions, and technical assistance
• Personalized Implementation Guidance: One-on-one support and customized recommendations from human experts to help you set up and optimize your AI automation systems
• Group Strategy Sessions: Monthly sessions led by human facilitators to help members maximize ROI and plan automation strategies

These human-delivered services are a core component of the membership and distinguish our offering from purely digital or automated products.

3.2 Digital Content and Community Access

In addition to human-delivered services, members receive:

• Access to our private member community platform
• Educational resources, templates, and automation blueprints
• Early access to new features and updates
• Community networking opportunities with other members

4. Membership Terms and Billing

4.1 Subscription Structure

• Membership Fee: $97 USD per quarter (3 months)
• Billing Cycle: Quarterly (every 3 months)
• Auto-Renewal: Your membership automatically renews every quarter unless cancelled
• Payment Processing: All payments are processed by Paddle.com, our Merchant of Record

4.2 Payment Authorization

By subscribing, you authorize Agility AI Consultants LLC (through Paddle) to charge your payment method:

• $97 USD for your initial quarterly membership
• $97 USD every quarter thereafter until you cancel

Billing occurs between 00:00 and 01:00 UTC on the renewal date.

4.3 Price Changes

We reserve the right to modify membership pricing. Current members will be grandfathered at their original price ($97/quarter) as long as their membership remains active and in good standing.

4.4 Failed Payments

If your payment method fails, we will attempt to process payment again. If payment cannot be collected after reasonable attempts, your membership access may be suspended until payment is resolved.

5. Cancellation

5.1 How to Cancel

You may cancel your membership at any time by:

• Emailing [email protected] with your cancellation request
• Providing at least 48 hours notice before your next billing date

5.2 Cancellation Effective Date

Cancellation takes effect at the end of your current billing period. You will retain access to membership benefits through the end of the paid quarter.

5.3 No Partial Refunds

Cancellation does not entitle you to a refund for the current billing period. See our Refund Policy for refund eligibility.

6. Refund Policy

• 30-day money-back guarantee on your first quarterly payment
• Subscription renewals subject to Paddle's standard refund policy

7. Member Responsibilities

7.1 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

7.2 Acceptable Use

You agree to:

• Use our services in compliance with all applicable laws
• Not share your membership access with others
• Not reproduce, distribute, or resell our proprietary content
• Participate respectfully in community interactions
• Not use our services for any illegal or unauthorized purpose

7.3 Technical Requirements

You are responsible for:

• Maintaining internet access
• Having compatible devices for video calls and platform access
• Installing and maintaining necessary software

8. Intellectual Property

8.1 Our Content

All content provided through the membership, including but not limited to:

• Training materials and educational content
• Templates, blueprints, and resources
• Videos, recordings, and presentations
• Community platform content

is owned by Agility AI Consultants LLC or our licensors and is protected by copyright and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use membership content for your personal business purposes during your active membership.

8.3 Restrictions

You may not:

• Reproduce, distribute, or publicly display our content
• Create derivative works from our content
• Sell, rent, or sublicense access to our services
• Remove copyright or proprietary notices

9. Third-Party Services

9.1 Moltbot and Third-Party Tools

Our training focuses on Moltbot and other third-party AI tools. We are not affiliated with these third-party services. Your use of third-party tools is subject to their terms and conditions.

9.2 Payment Processing by Paddle

All payment processing is handled by Paddle.com Market Limited (UK) or Paddle.com Inc (US), who serve as our Merchant of Record. Paddle's terms and conditions apply to all transactions. For payment-related questions, visit https://paddle.net

10. Disclaimers and Limitations of Liability

10.1 No Guarantees

While we provide education and support, we make no guarantees regarding:

• Specific business results or outcomes
• Time or cost savings from AI automation
• Compatibility of AI tools with your specific business needs

Success depends on many factors outside our control.

10.2 Service Availability

We strive to provide consistent service but do not guarantee:

• Uninterrupted access to services
• Error-free operation
• Specific call schedules (subject to reasonable changes)

10.3 Limitation of Liability

To the fullest extent permitted by law:

• Our liability is limited to the amount you paid in the past 12 months
• We are not liable for indirect, consequential, or incidental damages
• We are not responsible for third-party service failures

11. Termination

11.1 Our Right to Terminate

We reserve the right to suspend or terminate your membership if you:

• Violate these Terms
• Engage in fraudulent activity
• Abuse or harass our team or other members
• Use services in a way that harms our business

11.2 Effect of Termination

Upon termination:

• Your access to membership services ends immediately
• You remain liable for any outstanding payments
• Sections of these Terms that should survive (intellectual property, limitations of liability) remain in effect

12. Changes to Terms

We may modify these Terms at any time. If we make material changes:

• We will update the "Last Updated" date
• We will notify active members via email
• Continued use of services after changes constitutes acceptance

If you do not agree to modified Terms, you must cancel your membership.

13. Dispute Resolution

13.1 Informal Resolution

13.2 Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

13.3 Arbitration

Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court, except where prohibited by law.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Agility AI Consultants LLC.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

14.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms. We may assign our rights and obligations to any third party.
